An innovative start-up preparing its first fundraising round often hits the same wall: cash runs out before investors sign. The Bpifrance seed loan (prêt d'amorçage) targets exactly that window. Whether it is worth taking depends on three parameters founders sometimes discover late: the innovation grant that governs access, the ceiling tied to equity, and the repayment schedule that kicks in three years later.

What is the Bpifrance seed loan?#
The Bpifrance seed loan is an unsecured loan for innovative SMEs at seed stage, designed to strengthen their cash position and create favourable conditions for an investor to come in. In 2026, the Bpifrance catalogue offers it in two forms, both backed by the European InvestEU guarantee fund, implemented by the European Investment Fund (EIF, Fonds européen d'investissement).

Which companies can obtain a seed loan?#
The Bpifrance seed loan is reserved for SMEs as defined by the EU (fewer than 250 employees, and annual turnover of no more than €50m or a balance sheet total of no more than €43m) that are innovative, under 5 years old and at seed stage. The decisive condition lies elsewhere: the company must have recently received an innovation grant under the Research, Development and Innovation (RDI) framework.
The RDI framework is the EU state aid framework for research, development and innovation on which Bpifrance's innovation grants are based. A Bpifrance information page states that the grant must have been obtained within two years of the application date, whether it is a Bpifrance innovation grant, an i-Lab competition prize or aid for an RDI project. That page predates the current catalogue sheet: the two-year window should be confirmed with your account manager.

The Bpifrance sheets exclude, in particular:
- companies in difficulty under EU rules;
- companies majority-owned by one or more linked investment funds;
- companies listed on a regulated market, multilateral trading facilities remaining eligible;
- companies subject to an unexecuted recovery order from the European Commission;
- companies that have already distributed profits;
- companies that have taken over the business of another company.
An "innovative" company in Bpifrance's sense is not necessarily a young innovative company (jeune entreprise innovante, JEI) within the meaning of article 44 sexies-0 A of the French General Tax Code, which is a separate tax and social security status. According to the sheets consulted, the seed loan requires an innovation grant, not JEI status.
How much can you borrow, and for how long?#
The Invest EU seed loan ranges from €50,000 to €100,000 per operation, capped at the company's equity and quasi-equity, which Bpifrance illustrates with initial contributions and honour loans. Read strictly, the two limits mean that a company whose equity and quasi-equity remain below €50,000 cannot reach the minimum amount.
A guarantee from the Region can raise this maximum to €300,000, under the terms of the agreement signed between Bpifrance and each Region. Whether this top-up exists, and on what terms, therefore varies from one region to another.
The seed loan runs for 8 years, including a 3-year capital repayment deferral. The deferral (différé d'amortissement) is the period during which no capital is repaid; interest remains payable under the loan schedule. Capital is then amortised on a straight-line basis over the remaining 5 years, in quarterly instalments paid in arrears, i.e. 20 capital instalments.
The rate is fixed and set according to the rate schedule in force when the offer is made: the Bpifrance sheets do not publish the figure. Compare the offer you receive on its total cost (interest over 8 years, fees, the cash tied up in the holdback), not on the headline rate alone.
In practice. On a €100,000 seed loan, the 5% guarantee holdback ties up €5,000 and the arrangement fee comes to €500 (0.40% would give €400, so the minimum applies). The cash actually available is therefore about €94,500. From the fourth year, capital is repaid at €5,000 per quarter, plus interest. Build both figures into the forecast from the application stage.
Is a guarantee required for the seed loan?#
The Bpifrance seed loan requires no guarantee on the company's assets or on the founder's personal wealth: only a guarantee holdback (retenue de garantie) of 5% of the loan amount is withheld on disbursement. This absence of security comes with support from the European InvestEU guarantee fund, implemented by the EIF.
For other unsecured loans in its catalogue, Bpifrance states that the holdback is returned after full repayment, together with the interest it has earned. Check the equivalent clause in your seed loan agreement before recording it as a recoverable receivable in your cash plan.
The underestimated risk. No personal surety does not mean no risk. The debt remains owed by the company, and the end of the deferral, three years after disbursement, may coincide with preparations for the next round. The 20 quarterly instalments then show up in the forecast that investors scrutinise. A seed loan that was not built into the cash trajectory shortens the runway at the moment it matters most.
How does the seed loan's leverage effect work?#
The seed loan's leverage effect comes from its ceilings: every euro of equity or quasi-equity raised before the application increases the amount available, and every euro raised from sophisticated investors can unlock up to €0.50 of seed investment loan, within the limit of the new net equity.
Sophisticated investors (investisseurs avisés) are, according to Bpifrance, professional investors: investment funds, venture capital firms, professional business angels. Crowdfunding platforms holding CIP, IFP or PSI status, registered with the AMF or ORIAS, may also qualify. The sheet still cites the CIP and IFP statuses: since 10 November 2023, crowdfunding in securities and interest-bearing business loans has fallen under the EU crowdfunding service provider status (prestataire de services de financement participatif, PSFP), the CIP status having disappeared and the IFP status surviving only for activities outside the scope of the EU regulation. These amounts are theoretical ceilings, subject to the new net equity after the round and to Bpifrance's review of the file. The Invest EU catalogue sheet states a ceiling of €1,000,000 (€2,000,000 with a waiver), but older Bpifrance information pages or other versions of the loan may show different ceilings: have the ceiling applicable to your file confirmed in writing.
An evaluation of unsecured loans published by Bpifrance in June 2020 notes that, from the banks' point of view, these loans can be treated as equity. The same report likens them to "mezzanine" loans: with no security, Bpifrance is repaid, in the event of default, only after the other banks. That is what drives the knock-on effect sought on private financing.
Our view. At the firm, we recommend thinking in sequence rather than in terms of a single funding window. The seed loan makes sense when three conditions are met: an innovation grant obtained, consolidated equity, and a credible round within a timeframe that the cash position, loan included, can reach with a margin. Without a credible round, it merely postpones the cash problem, with added debt.
Can the seed loan be combined with a round, an honour loan or the French Tech Grant?#
The Bpifrance seed loan is designed to be combined: the innovation grant governs access, honour loans raise its ceiling and the fundraising round is its purpose. An honour loan (prêt d'honneur) is an interest-free personal loan with no guarantee, granted to the founder, who then contributes it to the company; Bpifrance Création presents it as a way to consolidate equity. The typical financing sequence for an innovative start-up runs as follows:
- Build the initial equity: share capital, founders' contributions, honour loans contributed to the company.
- Obtain an innovation grant under the RDI framework (French Tech Grant, innovation project aid, i-Lab prize).
- Apply for the seed loan to extend the cash runway until the round.
- Close a seed round of at least €200,000 with sophisticated investors.
- Apply for the seed investment loan straight after, if the company is under 8 years old.
- Then raise bank debt, where appropriate with a Bpifrance guarantee on the bank loan.
Taking a seed loan and then a seed investment loan for the same company is not explicitly described in the sheets consulted: ask the question before building the financing plan. The choice of fundraising instrument also matters. How is the seed loan accounted for: debt or quasi-equity?#
The Bpifrance seed loan is financial debt: it is recorded as a liability on the balance sheet under borrowings from credit institutions (account 164), never in equity. Unlike a grant such as the French Tech Grant, it generates no income and does not improve the profit figure.
The other entries follow the logic of the French general chart of accounts (plan comptable général). The 5% guarantee holdback is recorded as an asset, as a deposit paid, to be tracked until it is returned. The arrangement fee is a loan issue cost, expensed or spread over the term of the loan depending on the option chosen by the company. Interest is a financial expense, and the repayment schedule feeds the split of debts due within one year and after more than one year in the notes to the accounts, where these are prepared.

The seed loan sheets do not present it as a participating loan (prêt participatif). A participating loan is subordinated debt treated as quasi-equity: our article on participating loans and quasi-equity explains this difference in ranking.
Points to watch. Losses in the first financial years mechanically reduce equity. If the seed loan ceiling is assessed on the latest balance sheet, a loss-making year can reduce the amount available: check which base is used and, where needed, present recent interim accounts. The coexisting sheets (Invest EU, green, FNG) and older information pages do not always give the same figures: only Bpifrance's written offer is authoritative.
What should you prepare before approaching Bpifrance?#
A seed loan application is built around one question: can the company demonstrate its innovation, its equity and its ability to raise funds? The application is made to Bpifrance, online via the Bpifrance en ligne portal or through the innovation account manager at your regional office. At the firm, we recommend gathering:
- the notification or agreement for the innovation grant obtained, with its date;
- the articles of association, the Kbis extract and an up-to-date cap table;
- the latest annual accounts or interim accounts showing equity;
- the honour loan agreements and the accounting trail of their contribution to the company;
- a monthly cash flow forecast covering the deferral and then the 20 quarterly instalments;
- for the seed investment loan: minutes of the capital increase or letter of intent, and the list and status of investors;
- a financing plan showing how grants, loan and round fit together.

The reading therefore depends on who is looking, a banker or an investor.
