Setting up a company with Qonto in 7 steps#
- Choose the legal form. SASU or EURL if you are alone, SAS or SARL with partners, SCI for real estate. This choice sets your social security status as a director and your taxation: see SASU or EURL.
- Set the capital and prepare the articles. The amount of share capital is free; Qonto asks for at least 1 euro per shareholder. The draft articles state the company name, registered office, corporate purpose and the split of the capital: see how much share capital to set.
- Open the online capital deposit. You enter the company and shareholder details, then upload the documents: ID for each shareholder, the articles or draft articles, and proof of the registered office address dated less than 3 months.
- Transfer the contributions. Each shareholder transfers their share. In an SAS at least half of the cash contributions must be paid up at incorporation, in a SARL at least one fifth, and the balance within 5 years: see paying up share capital.
- Receive the deposit certificate. Qonto states that the deposit certificate is issued within 12 working hours after the funds are received and checked, Monday to Friday from 9 am to 6 pm.

Contributions in kind. A contributions auditor (commissaire aux apports) is required in principle. In a SARL or SAS, the future shareholders may decide unanimously to do without one when no single contribution in kind exceeds 30,000 euros and their total does not exceed half of the capital; they then remain jointly liable to third parties for 5 years for the value given. Formation costs. The 69 euro deposit fee, the legal notice and the registration fees can be taken over by the company once registered, provided they are documented: see expenses incurred before registration.
Abandoned formation. If the company is not registered within 6 months of the first deposit, the funds do not come back on their own: the shareholders go through a court application, or through a single representative acting for all of them with the depositary.

The most common mistakes#
- Transferring the capital from an account that is not the shareholder's. The deposit proves each subscriber's contribution; a transfer from a third party complicates the check and delays the certificate.
- Proof of registered office older than 3 months. Domiciliation contract, lease or utility bill: it must be less than 3 months old at the time of the deposit.
- Articles that do not match the deposit. Same name, same registered office, same split of the capital: any gap between the draft lodged and the signed articles means redoing the file.
- Forgetting to release the capital. Until the proof of registration is sent, the funds stay blocked.
- Choosing the cheapest plan without accountant access. Exporting statements by hand every month costs more in bookkeeping time than the difference in subscription.
- Paying personal expenses with the company card. This is the first source of tax add-backs and of an overdrawn shareholder current account, which is prohibited for managers and individual shareholders of a SARL and for the president and directors of an SAS (articles L. 223-21 and L. 227-12 of the French Commercial Code).
