Family SARL or SCI: what choice in 2026?

Updated March 2026 - Between Family SARL and SCI, the right choice depends less on the name of the structure than on your real project: bare rental, furnished rental, heritage investment, family operation, transfer, arbitration between IR and IS. In practice, many managers or investors mix the two even though these vehicles have neither the same purpose, nor the same tax logic, nor the same consequences in the event of the project evolving.

Family SARL and SCI: the initial difference

The SCI is a civil society. It is mainly designed for the holding and management of real estate assets. It works well to purchase, hold, organize transmission and distribute powers between partners.

The Family SARL is a commercial company between members of the same family which can, under certain conditions, opt for the partnership regime without time limit. It is often studied when a project combines real estate and commercial activity, in particular furnished rental.

When SCI is often more relevant

The SCI is generally suitable if you are looking to:

  • buy a property together;
  • organize long-term family detention;
  • prepare a progressive transmission;
  • manage bare rental;
  • avoid joint ownership and set clear management rules.

The SCI, on the other hand, becomes less comfortable if your project shifts towards a regular commercial activity, for example structured furnished rental. In this case, the fiscal balance can change significantly.

When the family SARL becomes a real option

The family SARL is often of interest to families who want:

  • carry out a furnished rental activity within a corporate framework;
  • maintain income tax under conditions;
  • structure an activity that is truly carried out as a family;
  • more clearly separate management and holding functions.

Hayot Expertise Advice: the wrong choice is not only fiscal. It is often a choice of structure which freezes a heritage project in a framework unsuitable for the actual exploitation of the property.

The real questions to ask yourself before choosing

1. Is your activity civil or commercial?

If your main objective is bare asset rental, the SCI often keeps a natural logic.

If you are aiming for furnished rental operated over time, the family SARL deserves serious consideration.

2. Do you mainly want to transmit or exploit?

SCI is often excellent for transmission and family organization.

The family SARL is often more readable when the project is more operational and generating BIC.

3. What level of flexibility do you want on taxation?

The subject is not to look for the structure "which pays the least" in theory. You need to look at:

  • the actual tax regime;
  • the nature of the deductible expenses;
  • the holding horizon;
  • future exit;
  • compatibility with your operating mode.

The most frequent errors

  • open an SCI to sell furnished accommodation as if it were neutral;
  • choose a family SARL without checking the exact composition of the shareholders;
  • think only about the annual tax without looking at resale and transmission;
  • create a structure without a clear family pact on governance.

Conclusion

In 2026, SCI and Family SARL do not meet the same need. SCI is often more natural for asset holding and transmission. The family SARL becomes more relevant when you want to operate a predominantly commercial family activity, particularly in furnished accommodation. The right choice therefore depends on the real project, not on an abstract preference for a social form.
